| PURSUANT TO THE APPLICABLE PROVISIONS OF THE COMPANIES ACT, 2013 AND THE SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015 (“LISTING REGULATIONS”), THE BOARD OF DIRECTORS, IN CONSULTATION WITH THE NOMINATION AND REMUNERATION COMMITTEE, HAS LAID DOWN A STRUCTURED FRAMEWORK FOR THE PERFORMANCE EVALUATION OF THE BOARD, ITS COMMITTEES, AND INDIVIDUAL DIRECTORS, INCLUDING INDEPENDENT DIRECTORS. THIS FRAMEWORK INCLUDES THE PROCESS, FORMAT, KEY ATTRIBUTES, AND EVALUATION CRITERIA AND IS PERIODICALLY REVIEWED AND UPDATED TO ALIGN WITH EVOLVING REGULATORY REQUIREMENTS AND BEST GOVERNANCE PRACTICES. A STRUCTURED QUESTIONNAIRE, DESIGNED TO ASSESS VARIOUS ASPECTS OF THE BOARD’S AND COMMITTEES’ EFFECTIVENESS, AS WELL AS THE PERFORMANCE OF INDIVIDUAL DIRECTORS, IS USED AS PART OF THE EVALUATION PROCESS. IN ACCORDANCE WITH THE SAID FRAMEWORK, THE ANNUAL PERFORMANCE EVALUATION FOR THE FINANCIAL YEAR 2024–25 WAS CARRIED OUT. THEPERFORMANCE OF THE BOARD, ITS COMMITTEES, AND INDIVIDUAL DIRECTORS WAS EVALUATED ON PARAMETERS SUCH AS COMPOSITION, STRUCTURE, EFFECTIVENESS OF MEETINGS, CONTRIBUTION OF MEMBERS, AND FULFILLMENT OF RESPONSIBILITIES. THE PERFORMANCE EVALUATION OF ALL INDEPENDENT DIRECTORS WAS CARRIED OUT BY THE ENTIRE BOARD, EXCLUDING THE DIRECTOR BEING EVALUATED, IN LINE WITH THE PRESCRIBED METHODOLOGY. |
