INDIVIDUAL DIRECTORS, INCLUDING THE CHAIRMAN OF THE BOARD OF DIRECTORS IN COMPLIANCE WITH THE PROVISIONS OF SECTION 178 OF THE ACT, THE SEBI LISTING REGULATIONS AND THE GUIDANCE NOTE ON BOARD EVALUATION ISSUED BY SEBI, THE COMPANY HAS CARRIED OUT A PERFORMANCE EVALUATION PROCESS INTERNALLY, THROUGH SELF-EVALUATION QUESTIONNAIRES, FOR THE BOARD, COMMITTEES OF THE BOARD, INDIVIDUAL DIRECTORS INCLUDING THE CHAIRMAN OF THE BOARD OF DIRECTORS FOR THE FINANCIAL YEAR ENDED MARCH 31, 2025. DURING THE YEAR UNDER REVIEW, THE COMPANY HAS COMPLIED WITH ALL THE CRITERIA OF EVALUATION AS ENVISAGED IN THE RELEVANT SEBI CIRCULAR. THE PARAMETERS FOR PERFORMANCE EVALUATION OF THE BOARD INCLUDES COMPOSITION OF THE BOARD, THE PROCESS FOR APPOINTMENT TO THE BOARD, SUCCESSION PLANNING, HANDLING CRITICAL AND DISSENTING SUGGESTIONS, ATTENTION TO COMPANY’S LONG TERM STRATEGY, EVALUATION OF THE GOVERNANCE LEVELS OF THE COMPANY, QUALITY OF DISCUSSIONS AT THE MEETING, REVIEWING MANAGEMENT’S PERFORMANCE, WORKING IN THE INTERESTS OF ALL THE STAKEHOLDERS OF THE COMPANY, ETC. THE PARAMETERS OF THE PERFORMANCE EVALUATION PROCESS FOR DIRECTORS, INTER ALIA, INCLUDES EFFECTIVE PARTICIPATION IN THE MEETINGS OF THE BOARD, UNDERSTANDING THE ROLES AND RESPONSIBILITIES, DOMAIN KNOWLEDGE, ATTENDANCE OF DIRECTOR(S), MAINTAINING CONFIDENTIALITY, OPENNESS TO IDEAS, PERSPECTIVES AND OPINIONS AND ABILITY TO CHALLENGE OLD PRACTICES AND THROWING UP NEW IDEAS FOR DISCUSSION, MAINTAINING RELATIONSHIPS OF MUTUAL TRUST AND RESPECT WITH THE BOARD MEMBERS, ACTING IN GOOD FAITH AND IN THE INTERESTS OF THE COMPANY AS A WHOLE, ETC. INDEPENDENT DIRECTORS WERE EVALUATED BY THE ENTIRE BOARD WITH RESPECT TO FULFILLMENT OF INDEPENDENCE CRITERIA AS SPECIFIED IN THE SEBI LISTING REGULATIONS AND COMPANIES ACT, 2013, AND THEIR INDEPENDENCE FROM THE MANAGEMENT. |
