| THE COMPANY HAS DEVISED A POLICY FOR PERFORMANCE EVALUATION OF INDEPENDENT DIRECTORS, BOARD COMMITTEES, THE EXECUTIVE CHAIRMAN AND OTHER INDIVIDUAL DIRECTORS WHICH INCLUDES CRITERIA FOR PERFORMANCE EVALUATION OF THE NONEXECUTIVE DIRECTORS AND EXECUTIVE DIRECTORS. ON THE BASIS OF POLICY APPROVED BY THE BOARD FOR PERFORMANCE EVALUATION OF INDEPENDENT DIRECTORS, BOARD COMMITTEES AND OTHER INDIVIDUAL DIRECTORS, A PROCESS OF EVALUATION WAS FOLLOWED BY THE BOARD FOR ITS OWN PERFORMANCE AND THAT OF ITS COMMITTEES AND INDIVIDUAL DIRECTORS. THE INDEPENDENT DIRECTORS, IN THEIR SEPARATE MEETING, EVALUATED THE PERFORMANCE OF NON- INDEPENDENT DIRECTORS, THE BOARD AS A WHOLE, ITS COMMITTEES AND THAT OF THE CHAIRPERSON OF THE COMPANY, CONSIDERING THE VIEWS OF EXECUTIVE DIRECTORS AND NON-EXECUTIVE DIRECTORS. PERFORMANCE EVALUATION OF INDEPENDENT DIRECTORS WAS DONE BY THE ENTIRE BOARD, EXCLUDING THE INDEPENDENT DIRECTOR BEING EVALUATED. THE INDEPENDENT DIRECTORS HAVE EXPRESSED SATISFACTION AT THE ROBUSTNESS OF THE EVALUATION PROCESS, THE BOARD’S FREEDOM TO EXPRESS ITS VIEWS ON MATTERS TRANSACTED AT THE MEETINGS AND THE OPENNESS AND TRANSPARENCY WITH WHICH THE MANAGEMENT DISCUSSES VARIOUS SUBJECT MATTERS SPECIFIED ON THE AGENDA OF MEETINGS. PARAMETERS AND PROCESS APPLIED FOR CARRYING OUT THE EVALUATION HAS BEEN DISCUSSED IN DETAIL IN THE CORPORATE GOVERNANCE REPORT. ONGOING FAMILIARIZATION PROGRAM AIMS TO PROVIDE INSIGHTS INTO THE COMPANY AND THE BUSINESS ENVIRONMENT TO ENABLE ALL THE INDEPENDENT DIRECTORS TO BE UPDATED OF NEWER CHALLENGES, RISKS AND OPPORTUNITIES RELEVANT IN THE COMPANY’S CONTEXT AND TO LEND PERSPECTIVE TO THE STRATEGIC DIRECTION OF THE COMPANY. |
